First, re-read your original lease.  The original may include a vertical pugh clause that only holds to a specific depth and everything below may be open for leasing.  Secondly, if this same lease includes a horizontal pugh clause everything outside a producing unit may be open for leasing.  If this isn't the case the second party making the offer may not have done their homework.
